These Terms of Service govern the use of services provided by ScriptEvolve Private Limited ("ScriptEvolve", "we", "our", or "us").
By requesting a quotation, approving a proposal, paying an invoice, signing an agreement, engaging our team, or using any service provided by ScriptEvolve, you agree to these Terms.
These Terms apply to all services offered by ScriptEvolve, including website development, web applications, mobile applications, SaaS development, API development, software development, cloud solutions, hosting services, maintenance services, consulting, technical support, and related services.
ScriptEvolve provides custom technology services based on the requirements agreed between us and the client.
Project scope, deliverables, timelines, pricing, and service details are typically outlined in a proposal, quotation, invoice, agreement, email communication, or other written documentation.
Any work outside the agreed scope may require additional time, cost, or approval.
To help us deliver projects efficiently, clients are responsible for providing required content, information, approvals, access credentials, feedback, and other materials needed for the project.
Delays in providing information or approvals may affect project timelines and delivery schedules.
The client is responsible for ensuring that any content, images, videos, documents, trademarks, logos, or other materials supplied to ScriptEvolve are legally owned or properly licensed for use.
Projects often evolve during development.
If additional features, functionality, integrations, design changes, or requirements are requested after work has started, we may provide a revised quotation, timeline, or estimate before proceeding.
Verbal discussions or informal conversations do not automatically become part of the project scope unless confirmed in writing.
Payment terms are outlined in the applicable quotation, proposal, invoice, subscription plan, or agreement.
Invoices must be paid within the specified payment period.
Late payments may result in project delays, suspension of services, restricted access, withholding of deliverables, or cancellation of services.
Unless otherwise stated in writing, payments made for completed work, allocated resources, subscription services, domain registrations, hosting services, third-party purchases, or completed milestones are non-refundable.
Upon full payment of all outstanding invoices, ownership of the final agreed deliverables transfers to the client unless otherwise agreed in writing.
Until payment has been received in full, all source code, designs, documentation, databases, graphics, configurations, and project assets remain the property of ScriptEvolve.
We retain ownership of our internal tools, development frameworks, reusable components, methodologies, and technical know-how used to deliver services.
Projects may include third-party services such as hosting providers, cloud platforms, payment gateways, APIs, plugins, libraries, software licenses, app stores, domain registrars, or external integrations.
These services operate independently from ScriptEvolve and are governed by their own terms and policies.
We are not responsible for outages, pricing changes, service interruptions, policy updates, account suspensions, or decisions made by third-party providers.
Where hosting, cloud, server management, monitoring, backups, email hosting, CDN services, or related infrastructure services are provided, ScriptEvolve will use reasonable efforts to maintain service availability.
However, no hosting environment can guarantee uninterrupted operation.
Scheduled maintenance, hardware failures, software issues, cyberattacks, internet disruptions, cloud provider outages, and other unforeseen events may affect availability.
Maintenance plans cover only the services included in the selected maintenance package.
New features, redesigns, major upgrades, business logic changes, migrations, integrations, consulting, or additional development work are not automatically included unless specifically agreed.
Support requests are handled according to available resources, support plans, and service commitments.
While we may provide SEO, performance optimization, marketing assistance, or related recommendations, we cannot guarantee specific rankings, search visibility, traffic levels, lead generation results, conversions, revenue growth, or business outcomes.
Search engines, advertising platforms, and online marketplaces are controlled by third parties whose algorithms and policies frequently change.
For mobile application projects, approval by Google Play, Apple App Store, or any other marketplace is never guaranteed.
Approval decisions are made solely by the respective platform operators.
ScriptEvolve is not responsible for marketplace policy changes, review delays, account restrictions, app removals, or rejection decisions made by those platforms.
We take reasonable measures to protect systems, projects, and information under our control.
However, no website, application, server, network, or online service can be guaranteed to be completely secure.
Clients are encouraged to maintain appropriate backups, security practices, and account protection measures.
If a project is delayed due to missing content, unavailable contacts, delayed approvals, or lack of communication from the client, delivery dates may be adjusted accordingly.
If we do not receive required communication or project feedback for 90 consecutive days, we may place the project on hold, archive project materials, or close the project.
Reactivating a dormant project may require additional planning, review, or fees.
To the maximum extent permitted by law, ScriptEvolve shall not be liable for indirect, incidental, special, consequential, or business-related losses arising from the use of our services.
This includes loss of profits, loss of business opportunities, loss of data, downtime, interruption of operations, or third-party claims.
Our total liability relating to any claim shall not exceed the amount paid by the client for the specific service that gave rise to the claim.
Either party may terminate a service arrangement where permitted by the applicable agreement.
We reserve the right to suspend or terminate services if payments remain overdue, if illegal activity is detected, if these Terms are violated, or if continued service creates operational, legal, or security risks.
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business operations.
The latest version will always be available on our website.
Continued use of our services after updates become effective constitutes acceptance of the revised Terms.
These Terms shall be governed by the laws of India.
Any dispute arising from these Terms shall first be addressed through good-faith discussions between the parties.
If a resolution cannot be reached, the dispute shall be subject to arbitration in accordance with applicable Indian law.
The courts located in Kolkata, West Bengal, India shall have jurisdiction where judicial intervention is required.
